Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you and Tonoy Akanda, operating as Aikraft ("Aikraft", "we", "us", or "our"). By accessing or using the Aikraft platform, website, or any related services (collectively, the "Service"), you confirm that:

  • You are at least 18 years of age;
  • You are acting on behalf of a business or organisation and have authority to bind that entity to these Terms; and
  • You have read and agree to these Terms and our Privacy Policy.

If you do not agree, you must not use the Service. If you are accepting on behalf of a company or other legal entity, "you" refers to that entity.

2. Description of Service

Aikraft is a Software-as-a-Service (SaaS) platform that helps organisations classify, document, and monitor their artificial intelligence systems for compliance with the EU AI Act (Regulation (EU) 2024/1689) and related regulatory frameworks.

Important limitations: The Service is a compliance management tool, not a law firm, and does not provide legal advice. Classification results, generated documentation, and risk assessments produced by the platform are informational guidance and technological outputs only — they do not constitute legal opinions. You are responsible for seeking qualified legal counsel where appropriate and for making your own compliance determinations.

3. Account and Subscription

3.1 Registration

To use the Service you must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for the security of your credentials and for all activity that occurs under your account.

3.2 Account Security

You must not share your account credentials with any third party. Each user must have a unique login. If you suspect unauthorised access to your account, notify us immediately at hello@aikraft.eu. We are not liable for loss arising from compromised credentials where you failed to take reasonable steps to protect them.

3.3 Subscription Plans

We offer the following subscription tiers. Features and limits are described on our Pricing page:

We reserve the right to modify plan features and pricing with 30 days' written notice to existing subscribers.

4. Permitted Use

You may use the Service only for lawful internal business purposes. You must not:

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service or its underlying algorithms;
  • Scrape, crawl, or systematically extract data from the Service by automated means without our prior written consent;
  • Resell, sublicense, or otherwise make the Service available to third parties outside your organisation on a commercial basis;
  • Use the Service to develop a competing product or service;
  • Upload content that is unlawful, harmful, defamatory, or that infringes the intellectual property rights of any third party;
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure; or
  • Use the Service in a way that violates applicable laws or regulations, including the EU AI Act itself.

5. Payment and Billing

5.1 Payment Processing

All payments are processed by Stripe, Inc. By providing payment information you agree to Stripe's terms of service. We do not store payment card details.

5.2 Billing Cycle

Paid plans are billed in advance, either monthly or annually depending on your chosen cycle. Billing begins on the date you upgrade to a paid plan and renews automatically unless you cancel.

5.3 Failed Payments

If a payment fails, we will retry using Stripe's Smart Retries. If payment remains outstanding after 7 days, your account will be downgraded to the Free plan and access to paid features will be suspended until payment is resolved. We will notify you by email before and after any downgrade.

5.4 Cancellation and Refunds

Monthly plans: You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refund is issued for the remaining days of the current period.

Annual plans: Annual subscriptions are non-refundable except where required by applicable law. If you cancel an annual plan, you retain access until the end of the paid annual term.

Statutory rights: Nothing in these Terms affects any statutory right to a refund you may have under applicable consumer protection legislation, where applicable.

5.5 Taxes

Prices are exclusive of VAT and any other applicable taxes unless stated otherwise. You are responsible for all taxes applicable to your use of the Service in your jurisdiction.

6. Data and Intellectual Property

6.1 Your Data

You retain full ownership of all data you submit to the platform, including AI system descriptions, classification inputs, compliance records, and any other content you create ("Customer Data"). You grant Aikraft a limited, non-exclusive, royalty-free licence to process Customer Data solely to the extent necessary to provide the Service to you.

6.2 Aikraft's Intellectual Property

Aikraft owns all intellectual property rights in the Service, including the software, user interface, classification engine, template library, documentation frameworks, and any improvements or enhancements thereto. These Terms do not transfer any ownership of Aikraft's intellectual property to you.

6.3 Generated Content

Documentation templates and structured outputs generated by the platform that are not wholly constituted by Customer Data (for example, template frameworks and regulatory text structures) are owned by Aikraft. You receive a perpetual, royalty-free licence to use such outputs for your internal compliance purposes.

6.4 Aggregated and Anonymised Data

Aikraft may use anonymised, aggregated data derived from your use of the Service for the purposes of improving the platform, training internal models, and producing industry benchmarks. Such data will not identify you or your organisation and will not include any Customer Data in identifiable form.

7. Confidentiality

Each party agrees to keep the other party's Confidential Information secret and to use it only for the purposes of the Service. "Confidential Information" means any non-public information disclosed by one party to the other that is marked as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure.

Confidentiality obligations survive termination of these Terms for a period of three (3) years, except for information that: (a) is or becomes publicly known through no breach by the receiving party; (b) was lawfully in the receiving party's possession before disclosure; (c) is independently developed without reference to the Confidential Information; or (d) must be disclosed by applicable law or court order (with prompt notice to the disclosing party where legally permissible).

8. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, Aikraft disclaims all warranties, including but not limited to:

  • Merchantability, fitness for a particular purpose, and non-infringement;
  • That the Service will be uninterrupted, error-free, or free from harmful components;
  • That classification results or generated documentation will be accurate, complete, or sufficient to achieve regulatory compliance; and
  • That the Service will be updated to reflect all regulatory changes in real time.

Aikraft provides tools and guidance to assist your compliance programme; it does not and cannot guarantee that your use of the platform will result in regulatory compliance. Ultimate responsibility for compliance with the EU AI Act and other applicable laws rests with you.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Aggregate cap: Aikraft's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to Aikraft in the twelve (12) months immediately preceding the event giving rise to the claim.
  • Exclusion of consequential damages: Neither party shall be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by German law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Aikraft and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your Customer Data; or (d) your AI systems or your compliance obligations.

11. Termination

11.1 Termination by You

You may terminate your account at any time from your account settings or by contacting hello@aikraft.eu. Termination takes effect at the end of the current billing period for paid plans.

11.2 Termination or Suspension by Aikraft

We may suspend or terminate your access to the Service immediately upon notice if: (a) you fail to pay fees when due and do not cure within 7 days of notice; (b) you materially breach these Terms and fail to cure within 14 days of notice; (c) you breach any provision that cannot be cured; or (d) we are required to do so by law.

11.3 Effect of Termination

Upon termination, your right to access the Service ceases. Your Customer Data will remain available for export for 30 days after the effective termination date, after which it will be deleted in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive (including payment obligations accrued prior to termination, confidentiality, IP ownership, disclaimers, limitation of liability, and governing law) will survive.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of laws rules. Subject to any mandatory consumer protection laws that may apply in your jurisdiction, the courts of Berlin, Germany shall have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms.

If you are a consumer in the EU, you may benefit from mandatory provisions of the law of your country of residence that cannot be derogated from by contract.

13. Changes to These Terms

We may revise these Terms from time to time. For material changes — those that affect your rights or obligations in a significant way — we will provide at least 30 days' notice by email to the address associated with your account. Non-material changes (such as corrections, clarifications, or new features that do not disadvantage you) may be made without prior notice.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to revised Terms, you should cancel your subscription before the effective date.

14. General

  • Entire agreement: These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between you and Aikraft regarding the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
  • No waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
  • Force majeure: Neither party is liable for failure to perform caused by circumstances beyond its reasonable control.
